Terms of Service
These Terms of Service ("Terms") govern your use of the digital marketing services provided by McCarthy Restoration LLC ("we", "us", or "our"). By engaging our services, you agree to be bound by these Terms.
1. Services
McCarthy Restoration LLC agrees to provide the digital marketing services as outlined in the client's specific Service Agreement or Statement of Work. Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing, and Content Marketing.
We will perform these services using our expertise and best practices. The client agrees to provide all necessary access to information, accounts, and materials required for us to perform the services, such as website access, ad account access, and brand assets.
2. Timelines and Deliverables
Project timelines and key deliverables will be specified in the Service Agreement. While we will make every reasonable effort to meet these timelines, we are not liable for delays caused by the client's failure to provide necessary feedback, content, or approvals in a timely manner, or for delays caused by third-party platforms (e.g., search engine algorithm updates).
3. Payment Terms
Fees for our services will be detailed in the Service Agreement. Payments are typically due on a recurring monthly basis, in advance of the service period. Invoices are payable upon receipt. Failure to make timely payments may result in the suspension or termination of services.
All payments made to McCarthy Restoration LLC are non-refundable. Ad spend for PPC campaigns is a separate cost paid directly to the ad platform (e.g., Google, Facebook) by the client, unless otherwise specified in the Service Agreement.
4. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of the engagement. This includes business strategies, client data, campaign data, and financial information. This obligation of confidentiality will survive the termination of our services.
5. Intellectual Property
Any pre-existing intellectual property shall remain the sole property of its respective owner. All content, ad creatives, and campaign assets created by McCarthy Restoration LLC specifically for the client's campaigns shall become the property of the client upon full payment for the services rendered. We retain the right to use case studies and non-confidential results of our work for marketing purposes.
6. Limitation of Liability
McCarthy Restoration LLC shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, or data, arising from the use of our services. Our total liability under any circumstance shall be limited to the total amount of fees paid by the client to us in the preceding three (3) months.
7. Termination
Either party may terminate the Service Agreement with thirty (30) days written notice. Upon termination, the client is responsible for all fees accrued up to the effective date of termination. McCarthy Restoration LLC will assist in the orderly transition of all campaign assets and data to the client.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which McCarthy Restoration LLC is registered, without regard to its conflict of law provisions.
